Welcome to Acorn LearnHub. These Terms of Service ("Terms") govern your access to and use of our learning management platform. By accessing or using our services, you agree to be bound by these Terms.
By creating an account, accessing, or using Acorn LearnHub ("the Platform", "we", "us", or "our"), you agree to comply with and be bound by these Terms of Service. If you do not agree to these Terms, you may not use the Platform.
Acorn LearnHub is a multi-tenant Software-as-a-Service (SaaS) learning management platform that provides:
3.1 Registration: To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.
3.2 Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
3.3 User Roles: The Platform supports multiple user roles (Admin, Client, Client Admin, Sub-Client, and Learner), each with different permissions and access levels. Your assigned role determines your capabilities within the Platform.
4.1 Course Licensing: Courses are licensed, not sold, to clients and users. Each course license is subject to quantity limits and expiration dates as specified at the time of purchase.
4.2 Client-Specific Access: Multi-tenant architecture ensures that course access is limited to authorized users within your organization or client group.
4.3 Course Assignments: Client administrators may assign course licenses to individual learners or groups within their organization, subject to available license quantities.
4.4 License Expiration: Course access expires on the date specified in your license agreement. Expired courses may no longer be accessible unless the license is renewed.
5.1 Payment Processing: Payments are processed securely through Stripe, a third-party payment processor. By making a purchase, you agree to Stripe's terms of service.
5.2 Pricing: All prices are listed in Euros (€) unless otherwise stated. We reserve the right to change pricing at any time, but changes will not affect existing licenses.
5.3 Refund Policy: Course purchases are generally non-refundable once access has been granted. Refund requests may be considered on a case-by-case basis within 14 days of purchase if no course content has been accessed.
5.4 Billing: Corporate clients with white-label subscriptions may be subject to recurring billing terms as outlined in their separate service agreement.
6.1 Custom Branding: Corporate clients may access white-label features including custom logos, colors, and domain configurations.
6.2 Client Responsibilities: Clients using white-label services are responsible for ensuring their branding materials do not infringe on third-party intellectual property rights.
6.3 Technical Configuration: White-label domain configuration requires proper DNS settings managed by the client. We are not responsible for client-side DNS configuration errors.
7.1 Platform Ownership: All rights, title, and interest in the Acorn LearnHub platform, including its software, design, and trademarks, are owned by Acorn LearnHub.
7.2 Course Content: Course content is licensed to the Platform by content providers or owned by Acorn LearnHub. Users receive a limited, non-transferable license to access course content for personal or organizational learning purposes only.
7.3 SCORM Content: SCORM-compliant learning content is subject to the SCORM standard's usage terms and may not be reverse-engineered, decompiled, or extracted from the Platform.
7.4 User-Generated Content: Any feedback, suggestions, or content you provide to us may be used by Acorn LearnHub without compensation or attribution.
8.1 Privacy Policy: Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.
8.2 GDPR Compliance: We comply with the General Data Protection Regulation (GDPR) and other applicable data protection laws in Ireland and the European Union.
8.3 Multi-Tenant Data Isolation: Our platform maintains strict data isolation between client organizations. Your organization's data is not accessible to other clients.
8.4 Data Retention: We retain user data in accordance with our Privacy Policy and applicable legal requirements.
You agree not to:
10.1 Uptime: We strive to maintain high service availability but do not guarantee uninterrupted access. The Platform may be unavailable during scheduled maintenance or due to circumstances beyond our control.
10.2 Maintenance: We may perform scheduled maintenance and will provide reasonable advance notice when possible.
10.3 Support: Support is provided via email at info@acornlearnhub.ie. Response times vary based on your service level agreement.
11.1 By You: You may terminate your account at any time by contacting us. Termination does not entitle you to a refund for unused license time.
11.2 By Us: We reserve the right to suspend or terminate your access to the Platform at any time, with or without notice, for violation of these Terms or for any other reason.
11.3 Effect of Termination: Upon termination, your right to use the Platform immediately ceases. You will lose access to all course content, progress data, and certificates unless otherwise specified in your agreement.
12.1 "As Is" Service: The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
12.2 No Guarantee of Outcomes: We do not guarantee that using the Platform or completing courses will result in any specific learning outcomes, certifications, or career advancement.
12.3 Limitation of Liability: To the maximum extent permitted by law, Acorn LearnHub shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or related to your use of the Platform.
12.4 Maximum Liability: In no event shall our total liability to you exceed the amount you paid to us in the twelve (12) months preceding the claim.
You agree to indemnify and hold harmless Acorn LearnHub, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of your use of the Platform, violation of these Terms, or infringement of any third-party rights.
These Terms are governed by and construed in accordance with the laws of Ireland. Any disputes arising out of or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts of Ireland.
We reserve the right to modify these Terms at any time. We will notify users of significant changes via email or through a notice on the Platform. Your continued use of the Platform after changes are posted constitutes your acceptance of the modified Terms.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
These Terms, together with our Privacy Policy and any separate service agreements, constitute the entire agreement between you and Acorn LearnHub regarding the use of the Platform.
